These Terms and Conditions (“Terms”) govern your participation in programs, use of services, websites, and other activities operated under the brand name EntryPoint Europe, owned and operated by Peonia SARL. By applying to or participating in our accelerator, using our website, or engaging with our services, you agree to be bound by these Terms. Please read them carefully.
1. About Peonia SARL / EntryPoint Europe
Peonia SARL (“we”, “us”, “our”) is a private limited liability company registered in [jurisdiction, e.g., Luxembourg], operating the startup accelerator and related activities under the brand EntryPoint Europe.

We design and deliver accelerator programs, mentorship sessions, networking events, and related services for startups, founders, and entrepreneurs.
2. Eligibility
To apply to our programs or use our services, you must:
Be at least 18 years old or have legal capacity to enter into contracts under your national law;
Be acting on behalf of yourself, your company, or another legal entity with proper authority;
Meet any specific program criteria published in the relevant call for applications; and
Comply with all applicable laws and regulations.
We reserve the right to verify eligibility and reject applications that do not meet our requirements.
3. Application Process
Submission – Applications must be submitted through the official channels and within the stated deadlines.
Accuracy of information – All information provided must be true, complete, and not misleading. False statements may result in rejection or removal from the program.
Selection process – Applications are reviewed by our team, mentors, and/or investment committee. Selection criteria may include team experience, innovation, market potential, and fit with program goals.
No guarantee of acceptance – Submission of an application does not guarantee participation.
4. Program Participation
If accepted, you agree to:
Attend and actively participate in scheduled sessions, workshops, and events;
Respect all program guidelines, deadlines, and deliverables;
Cooperate with mentors, partners, and other participants;
Keep confidential any non-public information shared by others during the program; and
Act professionally and avoid conduct that may damage the reputation of Peonia SARL, EntryPoint Europe, or our partners.
Failure to comply may result in removal from the program.
5. Fees and Payments
Participation in the program is free of charge for selected teams.
Each team selected to participate in the onsite phase is eligible to receive a stipend covering travel, accommodation, and living expenses for up to two (2) founders.
The stipend amount is USD 20,000 (or the EUR equivalent) per team, for the entire duration of the program.
Visa costs (including application fees, travel to visa appointments, and related expenses) are not covered and remain the sole responsibility of the founders.
In exchange for participation in the onsite phase of the program, Peonia SARL / EntryPoint Europe takes an equity stake of 2–5% in the participating startup. The exact percentage will be agreed on a case-by-case basis and formalized in a separate agreement.
The stipend will be disbursed according to the schedule and conditions communicated upon acceptance into the program.
6. Intellectual Property
Your IP – You retain ownership of intellectual property you create before or during the program.
Licences – By participating, you grant Peonia SARL and its partners a non-exclusive, royalty-free licence to use your name, logo, and public descriptions of your project for promotional purposes.
Mentorship & content – Any materials provided by mentors, trainers, or us are protected by copyright and may not be reproduced without permission.
7. Confidentiality
Both parties agree to protect any confidential information received during the program. Confidential information does not include:
Information already in the public domain;
Information lawfully obtained from a third party without confidentiality obligations;
Information independently developed without reference to confidential material; or
Information disclosed under a legal obligation.
8. Data Protection & Privacy
Your personal data will be processed in accordance with our Privacy Policy, which forms part of these Terms. This includes compliance with the EU General Data Protection Regulation (GDPR).
9. Limitation of Liability
To the extent permitted by law:
We are not liable for any indirect, incidental, or consequential damages arising from your participation or use of our services;
Nothing in these Terms excludes liability for death, personal injury, fraud, or any other liability that cannot be excluded under law.
10. Termination
We may terminate your participation immediately if you:
Breach these Terms;
Engage in conduct that damages our reputation or that of our partners; or
Fail to meet participation obligations.
You may terminate participation by written notice.
11. Changes to Terms
We may update these Terms from time to time. The latest version will always be posted on our website with the “Last updated” date. Continued participation or use of our services after changes take effect constitutes acceptance.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of Luxembourg. Any disputes will be subject to the exclusive jurisdiction of the courts in Luxembourg.
